TMK gets approval for amending terms of $500 million Eurobonds

PAO “TMK” announces results of the Consent Solicitation for the outstanding U.S.$500,000,000 4.3 per cent. loan participation notes due 2027.

On 23 October 2023, PAO “TMK” (the “Borrower”) announced a consent solicitation in relation to the outstanding U.S.$500,000,000 4.3 per cent. loan participation notes due 2027 issued by TMK Capital S.A. (the “Issuer”) (ISIN: XS2116222451, Common Code: 211622245) (the “Notes”) on the terms and subject to the conditions set forth in the consent solicitation memorandum dated 23 October 2023 (the “Consent Solicitation Memorandum”). Capitalised terms used, but not defined herein, shall have the meanings given to them in the Consent Solicitation Memorandum.

The Borrower hereby notifies that on 25 January 2024 the Extraordinary Resolution was passed by Noteholders. Effective from 26 January 2024, the Transaction Documents shall be considered amended and restated as set out by the Proposals, respectively. No agreements amending the Transaction Documents are expected to be executed as the result of the Consent Solicitation. The copy of the Consent Solicitation Memorandum, the Extraordinary Resolution and the minutes of the Meeting may be obtained by the Noteholders by contacting the Information and Tabulation Agent or the Borrower.

The Borrower extends its gratitude for the support and cooperation demonstrated by investors, which has been reflected in the successful results of the Consent Solicitation.
