TMK shares are listed in London and in Moscow on the RTS and MICEX.
- What are the differences between TMK GDRs and TMK ordinary shares?
TMK GDRs are listed on the London Stock Exchange under the TMKS symbol. Each GDR represents 1/4th of an ordinary share (4 Ordinary Shares = 1 GDR). Our ordinary shares are listed on the Russian Trading System and the Moscow Interbank Currency Exchange under the same TRMK ticker symbol.
- Does TMK prepare its accounts according to Russian or International accounting standards (IFRS)?
TMK subsidiaries maintain their accounting records in their local currency and prepare their statutory financial statements in accordance with the Regulations on Accounting and Reporting of the country in which they operate. The consolidated financial statements are based on the statutory accounting records, with adjustments and reclassifications for the purpose of fair presentation in compliance with IFRS. The principal adjustments relate to (1) expense and revenue recognition, (2) valuation of unrecoverable assets, (3) depreciation and valuation of property, plant and equipment, (4) accounting for income taxes, (5) use of fair values, (6) business combinations and (7) translation to the presentation currency.
- When was the TMK IPO?
Trading of TMK GDRs on the London Stock Exchange and of ordinary shares on the RTS began in November 2006. TMK shares were accepted for trading on the MICEX in April 2007. Through its IPO in London and Moscow, TMK raised more than US$1 billion. Strong demand saw the company’s initial public offering oversubscribed 19 times.
- Does TMK have a stock options programme?
On March 2, 2007, TMK adopted a share options programme. Under this programme, the members of the Board of Directors, senior executives and certain employees are granted options to acquire shares in the Company. TMK believes that developing management incentive and remuneration practices through a Stock Option Programme while implementing a KPI (key performance indicators) based performance evaluation of management allows the company to remain best-in-class and encourages solid long-term growth strategies.
